By submitting the form above, you are agreeing to the following terms and conditions. 

1. Trainer Responsibilities:
   The trainer agrees to deliver the training on site as scheduled and will prepare all handouts and training materials. The trainer is responsible for the custom preparation and delivery of the training.
2. Intellectual Property:
   The trainer retains ownership of all original handouts, training materials, and intellectual property they independently create. Skill Builder Seminars will not use or reproduce such materials without the trainer’s written permission. Nothing in this agreement shall prevent Skill Builder Seminars from independently developing or using training materials covering the same or similar subject matter, provided such materials do not copy the trainer’s proprietary content.
   
3. Exclusivity:
   The trainer agrees that they will not provide any services directly to the client, outside of the scope of this engagement, without prior written consent from Skill Builder Seminars.
4. Pre-Training Meeting:
   The trainer agrees to participate in a pre-training meeting organized by Skill Builder Seminars, with the client, so that objectives and expectations are aligned.
5. Communication:
   All communication with the client must be coordinated through Skill Builder Seminars. The trainer agrees not to contact the client directly outside of these organized meetings.
6. Payment:
   Skill Builder Seminars will remit payment within ten (10) business days following the successful completion of the training engagement, provided the trainer has fulfilled all agreed-upon obligations.
   
7. Indemnification:
   The trainer agrees to indemnify and hold Skill Builder Seminars harmless from any claims, damages, liabilities, or expenses arising out of the trainer’s actions or negligence, including any injury, accident, or slip-and-fall incident during the training event.
8. Once a trainer accepts a training opportunity
   they are expected to fulfill the engagement as scheduled. Cancellations or rescheduling by the trainer will only be allowed in exceptional circumstances and must be approved in writing by Skill Builder Seminars. Repeated cancellations may result in removal from the trainer roster.
9. In the event of any dispute
   arising out of or relating to this agreement, the parties agree to first seek resolution through mediation in the state of Texas. If the dispute cannot be resolved through mediation, the parties agree that the dispute shall be litigated exclusively in the state and federal courts of Texas.
10. Independent Contractor Status
    Trainers are engaged as independent contractors and are solely responsible for their own taxes, insurance, licenses, permits, and business expenses. Nothing in this agreement creates an employer-employee relationship, partnership, or joint venture.
11. Professional Conduct
    Trainers agree to conduct themselves professionally at all times, arrive prepared and on time, dress appropriately for the client environment, and represent Skill Builder Seminars in a courteous and ethical manner.
12. Confidentiality
    The trainer agrees to maintain the confidentiality of all client information, business practices, participant information, and any non-public information obtained before, during, or after the engagement.
13. Non-Solicitation
    The trainer agrees not to solicit or accept business directly from any client introduced by Skill Builder Seminars for a period of twenty-four (24) months following the completion of any engagement unless prior written permission is obtained from Skill Builder Seminars.
14. Recording
    Training sessions may not be recorded, reproduced, or distributed by either party without prior written consent.
15. Right to Remove
    Skill Builder Seminars reserves the right to remove any trainer from its trainer roster at its sole discretion.
16. Background & Credentials
    The trainer represents that all information provided is accurate and agrees to promptly notify Skill Builder Seminars of any material changes to their qualifications, certifications, or professional status.
17. No Guarantee of Training Engagements
    Submission of this application or acceptance onto the Skill Builder Seminars trainer roster does not guarantee any minimum number of training engagements, assignments, revenue, or future work. Training opportunities will be offered at the sole discretion of Skill Builder Seminars based on client needs, trainer qualifications, availability, geographic location, performance, and other business considerations. Trainers are under no obligation to accept any offered engagement, and Skill Builder Seminars is under no obligation to offer any minimum amount of work.
18. Entire Agreement
    These Terms and Conditions constitute the entire agreement between the parties and supersede all prior discussions or understandings regarding trainer engagements.
